We are looking for a proactive and responsible Commercial Contracts Manager who will be responsible for actively leading and supporting the winning and delivery of profitable business and providing commercial support and governance to the business by ensuring the company contracts with customers and suppliers on terms that protect the business. Experience working in the Technology Design and Strategy industry is preferred.
What you’ll do:
Contract processing and Tracking:
Follow contract management process controls to verify contract documents are fully approved and vetted internally before presenting to the client.
Responsible for the timely processing of contract activities against established service levels through Salesforce and contract management tools.
Develop, implement, and ensure compliance with an appropriate strategic commercial approach, based on contract type (i.e. Fixed Price, Retainer, Deliverables, T&M).
The drafting and review of agreements including, but not limited to NDAs/PIAs, LTAs, Agency Agreements, MSA’s, SOW’s, Teaming Agreements, and Partner and Collaboration Agreements
Ensure compliance with all group policies, processes, and procedures
Negotiation and client mgt support:
Assist in negotiating, structuring, and management of contractual documents that establish the business relationship with clients, subcontractors, vendors and/or partners, as applicable.
Provide on-demand contractual clarifications / position statements to project team members as required.
Revise documents for adherence to company policy/position statements, and advise on contractual rights and obligations, and provide interpretation of terms and conditions.
Support the timely submission of bids and proposals ensuring commercial integrity and compliance with all applicable policies, processes and legislation with specific responsibility for responding to the commercial aspects, including customer terms and conditions and pricing.
Ensure the identification of commercial risk, develop and implement effective mitigation strategies and actions and report the risk and progress with mitigation strategies internally.
Support client negotiations with respect to commercially advantageous terms and conditions, prices and payment plans and contractual risk management.
Support resolution of client disputes and claims ensuring the best outcome for the company, working closely with commercial and operations teams.
Provide advice with respect to contractual obligations, liabilities, and rights.
Conduct contract reviews in conjunction with other departments across the Region.
Process and Template Development:
Collaborate with service lines to fully understand the products and/or services being provided and develop contract document templates.
Assist in maintaining a centralized repository of legal documents.
Monitor and recommend adjustments to commercial strategies, position statements, and contractual terms based on audits, market conditions, and changes in the law.
Other areas of responsibility:
Provide a high-quality service level to all internal and external customers ensuring accuracy, efficiency, and interpretations of contract language, as needed.
Support and become an expert in Salesforce, and its integrated contract management system of record, for cataloging and tracking all contracts, approvals, and storage of fully executed contracts.
Liaison with the Commercial, Operations, and Delivery teams to ensure compliance with local regulations and internal governance requirements.

Scope of responsibilities, skills, and experience you will need to succeed in this role:
Minimum Bachelor’s degree in Business, IT, Paralegal, or related field.
Experience preferred in Information Technology, Digital Agency, or similar professional services organization.
5+ years in Contracts development, Law, Procurement, Vendor oversight, Negotiation, Business, or combination thereof. Paralegal experience is a plus.
Fluency in English is essential.
Keen attention to detail, with an ability to spot errors and identify key risk areas in a contract
Strong verbal and written communication skills including spelling, grammar, and distillation of RFP-like statements into contractual responsibilities/ legal requirements involved with a contract.
Excellent interpersonal skills and ability to communicate in a professional and timely manner with varying seniority levels, including peers, managers/directors, and VP/C-level both internal and external
Strong ethics, integrity, and values including the ability to maintain confidentiality with respect to agreement contents and other highly sensitive business matters and projects required
Possess the ability to adapt to changes, delays, or unexpected shifts in priorities while maintaining focus and productivity in a high-volume environment required.
